SECTION: RESIGNATION, NOTICE PERIOD & SETTLEMENT
- Notice Period Requirements:
- Probation Period: Employees on probation must serve a Notice Period of 15 Days.
- Confirmed Employees: Confirmed employees must serve a Notice Period of 30 Days.
- Note: Resignation must be submitted via formal email to HR/Management. WhatsApp or verbal resignation is not accepted.
- Failure to Serve Notice (Recovery of Salary):
If the Employee resigns and leaves immediately (or fails to serve the full Notice Period), InnovizeDigi reserves the right to recover “Notice Pay” from the Employee’s final dues.
- Recovery Formula: (Shortfall in Notice Days) x (Gross Daily Salary)
- Example: If an employee leaves 10 days early, 10 days of gross salary will be deducted from their Full & Final settlement.
- Withholding of F&F for Data Verification:
In cases of “Absconding” (leaving without notice), the Full & Final (F&F) settlement will be placed on hold until a comprehensive audit of the Employee’s company accounts (Ads Manager, Email, Server Access) is completed to ensure no proprietary data has been deleted or stolen. - Settlement Timeline:
The Full & Final settlement process, subject to the clearance of all dues and assets, will be completed within 45 days from the last working day.
SECTION: INTELLECTUAL PROPERTY & AD ACCOUNT OWNERSHIP
1. Ownership of Ad Accounts:
The Client acknowledges that all advertising accounts, including but not limited to Meta Ads Manager (Facebook/Instagram) and Google Ads, created by InnovizeDigi for the purpose of this service, remain the sole property of InnovizeDigi. The Client is paying for the management service and the results (leads, traffic, sales), not the ownership of the advertising infrastructure, pixel data, or campaign structure.
2. Proprietary Data & Methodologies:
All campaign structures, audience targeting sets, “Lookalike” audiences, and optimization configurations constitute the proprietary intellectual property and “Trade Secrets” of InnovizeDigi. These are not transferable to the Client upon termination of this agreement.
3. Client Ownership of Creative Assets:
The Client retains full ownership of all raw creative materials provided to InnovizeDigi (e.g., product photos, video files, logos). Upon termination, InnovizeDigi will return these raw files if requested. However, the performance data attached to these creatives within the ad account remains the property of InnovizeDigi.
4. Transfer of Accounts (Buy-Out Option):
Should the Client wish to take full ownership of the ad account, pixel data, and campaign history upon termination, a “Transfer Fee” of rs 25,000 will apply to cover the transfer of intellectual property.

POLICY 1: Data Protection & Trade Secrets (The “Anti-Theft” Clause)
This is the most critical section for your agency. It warns employees that stealing data is a crime, not just a rule break.
- CONFIDENTIALITY & DATA SECURITY
1.1. Proprietary Information:
The Employee acknowledges that “Client Data,” including but not limited to Ad Account IDs, Pixel Data, Customer Lists (Leads), Creative Assets, and Software Code (e.g., React Dashboards), constitutes the exclusive intellectual property of InnovizeDigi.
1.2. Criminal Breach of Trust:
Any unauthorized copying, transferring, or sharing of this data with competitors or for personal use is strictly prohibited. The Employee understands that such actions constitute a Criminal Breach of Trust under Section 408 of the Indian Penal Code (IPC) (corresponding to Section 316 of the Bharatiya Nyaya Sanhita) and will face immediate legal action, including the filing of an FIR (First Information Report).
1.3. IT Act Compliance:
Unauthorized access to or downloading of company data is also a punishable offense under Section 43 (Damage to Computer Systems) and Section 66 of the Information Technology Act, 2000, carrying penalties of imprisonment up to 3 years and fines up to ₹5 Lakhs.
POLICY 2: Code of Conduct & Office Decorum
This covers professionalism and moonlighting (working for others). - CODE OF CONDUCT
2.1. Exclusivity (No Moonlighting):
During the term of employment, the Employee shall not engage in any other business, agency work, or freelancing that competes with InnovizeDigi without prior written consent.
2.2. Professional Integrity:
Employees are expected to maintain the highest standards of integrity. Any act of Cheating or dishonestly inducing the delivery of property (e.g., diverting client payments to personal accounts) will be prosecuted under Section 420 of the IPC (corresponding to Section 318 of the BNS).
POLICY 3: Sexual Harassment (Mandatory by Law)
Every company in India MUST have this to avoid heavy fines. - PREVENTION OF SEXUAL HARASSMENT (POSH)
3.1. Zero Tolerance:
InnovizeDigi maintains a Zero Tolerance Policy towards sexual harassment. This includes physical contact, demand for sexual favors, sexually colored remarks, or unwelcome physical/verbal conduct of sexual nature.
3.2. Legal Framework:
This policy is in accordance with the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013. Any employee found guilty after an internal inquiry will face immediate termination and potential criminal charges under Section 354A of the IPC.
POLICY 4: Company Assets & Termination
How to handle firing and returning items. - ASSETS & TERMINATION
4.1. Company Property:
Upon resignation or termination, the Employee must return all company assets (Laptops, Access Cards) and Digital Assets (Passwords to Instagram/Facebook accounts, Server Access). Failure to return these items is considered Theft by Clerk or Servant under Section 381 of the IPC.
4.2. Notice Period:
Employees must serve a Notice Period of 45 days upon resignation. InnovizeDigi reserves the right to terminate employment immediately in cases of misconduct (as defined in Section 1 and 2) without notice or severance pay.
